If you have order a standard company formation your package will include the
following items.
If you have ordered a custom company formation your package
will not include forms 288a, form 287 and the share transfer form since these
will not be needed.

The original certificate of incorporation.
This is supplied to us by Companies House. This is the proof that the company
is incorporated, it shows the name, registered number and date of incorporation
of your company. Your bankers will usually need to see the certificate before
opening a bank account for the company.

Three bound copies of the memorandum and articles
of association.
These are a legal form showing the rules for running the company. They show
what the company can do by law, where its registered office should be, how
much share capital can be issued etc. Unless you have requested differently
your memorandum and articles will state that the company's registered office
will be in England or Wales and your maximum authorised share capital is
£1,000 (£50,000 for a PLC). Your bank will usually require a copy when you
open a bank account for the company.

A loose leaf combined company register complete with
share certificates or a PC based company register.
This is a special book, required by law, in which you should record the
issue of shares, the transfer of shares, the appointment and resignation
of officers, minutes of board meetings etc. If you keep this book up to
date you will always know what happened and when in the life of your company.
The PC based version maintains the same records but on your PC rather than
on paper.

2 signed forms to appoint a new director and company
secretary (form 288a).
These forms should be completed and filed at Companies House within 14 days
from the appointment of a director or secretary. Failure to do this is an
offence but it does not affect the validity of the appointment and there
is no penalty for late filing.
Anyone, of any nationality, living anywhere in the world can be appointed
a director unless:
- They have been disqualified by a court order.
- They are an undischarged bankrupt.
- They are a foreign national subject to restrictions imposed by the
U.K. Government.
A Company Secretary of a PLC should be qualified to hold
office. We can act as Nominee Company Secretary for your company if required.

A form to change the registered office (form 287).
The registered office is the company's address in England or Wales to which
formal communications are sent, it may be the business address, the directors
home address, the accountants address etc but it must be a real address
not just a P O Box number. We can provide a registered office for your company
if required. If your company is a Scottish company this address must be
in Scotland. Failure to file this form promptly may result in important
documents not being delivered to you.

A form to change the accounting reference date (form
225).
A company's financial year will end one year after incorporation. If for
some reason this is inconvenient you can change the date by completing form
225 and sending it to Companies House.

1 signed share transfer form.
This form is your proof that our nominee shareholder no longer owns the
share issued on incorporation. Keep this form safe (with your combined company
register). Companies House do not need this form, you will be asked to provide
details of any share transfers when you complete your first annual return.
If you need to issue more shares you must complete a form 88(2) which should
be sent to Companies House.

Our unique certificate of non-trading and summary
of information.
This is your guarantee that the company has not traded before being transferred
to you. It also shows information regarding the company which you may find
useful for reference.
- A company seal.
If you have ordered a seal for your company it will usually be delivered 2
or 3 days after the company package.
